Affiliate Programme Terms

These terms govern your participation in the Commercial Excellence Academy affiliate programme. Please read them before you apply. They form a binding agreement between you and us.

1.  Who these terms are between

The programme is operated by Asbiverse Limited, a company registered in England and Wales, company number 13891216, registered office Dairy House, Money Row Green, Holyport, Maidenhead, Berkshire, SL6 2ND. In these terms “we”, “us” and “our” mean Asbiverse Limited. “You” and “your” mean the person or organisation applying to or participating in the programme.

Commercial Excellence Academy is a division of Asbiverse Group. Our products are sold at commercialexcellenceacademy.com.

2.  Acceptance

By submitting an affiliate application you confirm that you have read these terms and agree to be bound by them. If you do not agree, please do not apply. If we approve your application, these terms continue to apply for as long as you participate in the programme.

3.  Eligibility

You may apply if you are at least 18 years old and have the legal capacity to enter into a contract.

The programme is open to applicants anywhere in the world, subject to clause 21. We do not restrict applications by country, but we cannot pay commission where doing so would breach UK law, including sanctions and financial crime legislation, or where our payment providers cannot operate.

Approval is at our sole discretion. We may decline any application without giving reasons. Approval of one application does not oblige us to approve another.

4.  Applying and approval

Apply at commercialexcellenceacademy.com/affiliate-program. Your application will be held as pending until we review it. We aim to review applications within five working days.

You must give accurate and complete information, and keep it up to date. In particular you must keep your payment details current. We are not responsible for commission paid to details you gave us that were wrong or out of date.

You may hold one affiliate account. You are responsible for keeping your login secure and for activity under your account.

5.  Commission

Commission is calculated on the product price actually paid by the customer, after any discount, and excluding VAT or other sales taxes, and excluding any delivery or transaction charges.

What you earn:

  • Pillar Digital Pack, GUIDE™ pillar, £199. Commission 10%, which is £19.90.
  • Pillar Digital Pack, PATHS™ pillar, £399. Commission 10%, which is £39.90.
  • Full GUIDE™ Digital Foundation, £495. Commission 10%, which is £49.50.
  • Full PATHS™ Digital Foundation, £995. Commission 10%, which is £99.50.
  • Complete Practitioner Pack, £1,495. Commission 10%, which is £149.50.
  • Shopojo™ Membership, £14.99 monthly or £99 yearly. No commission is paid on this product.

Those figures are for a single licence. Commission is 10% of the order, not 10% of a licence. Our products can be bought as several licences in a single order, so an order covering a team earns 10% of that order’s total. There is no cap on what a single referral can earn.

The commission rate that applies is the rate in force at the time the order is placed. We may change rates or add products at any time. Where a change reduces your commission we will give you at least 30 days’ notice by email before it takes effect.

6.  What does not earn commission

  • Shopojo™ Membership, including first payments and any renewal.
  • Renewal or recurring payments on any subscription product.
  • Purchases you make yourself, or purchases made through your own affiliate link by you, your household, or an organisation you control.
  • Orders that are cancelled, refunded, or subject to a chargeback.
  • Orders where we reasonably suspect fraud, abuse, or breach of these terms.
  • Orders placed before your application was approved.

7.  How referrals are tracked

Referrals are credited through your affiliate link. When somebody clicks it and arrives at commercialexcellenceacademy.com, a cookie is stored in their browser for 90 days. If they buy within that period, the sale is credited to you.

Please read the following before you rely on link tracking, because it decides whether you are paid.

  • Tracking only operates on commercialexcellenceacademy.com. Our scorecard at ripescore.com and our methodology site at academy are separate websites and links to them are not tracked. If you send somebody to either of those, and they then buy from us, the sale will not be credited to you automatically. Always link to commercialexcellenceacademy.com.
  • Cookies are specific to one browser on one If somebody clicks on their phone and buys on a laptop, clears their cookies, or browses privately, the referral is lost.
  • Where more than one affiliate could be credited, our tracking records determine which one is. We will apply our records reasonably, and our decision is final.

If a sale is missed. If you believe a sale came from you and it was not credited, contact us with the details, including who bought, roughly when, and how you referred them. Where we are reasonably satisfied the sale came from you, we will assign it to you by hand. Please raise it within 30 days of the purchase, while the records are still clear.

8.  When commission becomes payable 

Commission is recorded when an order completes. It is then held as pending for 30 days so that any refund or chargeback can resolve. After that period it is approved and becomes payable at the next payment run.

9.  Payment 

We pay monthly in arrears once your approved balance reaches £250.

Approved balance means commission that has cleared the 30 day holding period described in clause 8. It may be lower than the total earnings shown in your affiliate dashboard, because your dashboard also includes commission still inside that period.

How you get paid

  1. When your approved balance reaches £250, we will email you with the exact amount payable and the period it covers.
  2. You send us an invoice for that Clause 10 sets out what it must show.
  3. We pay it in that month’s payment run.

Please do not send an invoice before we ask for one. We will not be able to accept it. The amount you can see in your dashboard is unlikely to match the amount that is actually payable, and an invoice for the wrong amount cannot be paid.

Other payment terms

  • Balances below £250 roll over and continue to accrue.
  • We will pay any outstanding balance in full, regardless of the threshold, once a year, and when your account closes or your participation ends for any reason other than fraud or a material breach of these terms. You will not lose commission you have properly earned because you did not reach the threshold.
  • Commission is calculated and paid in pounds sterling. If you receive it in another currency, the exchange rate and any conversion charge are a matter between you and your payment provider.
  • Payment is made by bank transfer to the details you give us on your invoice.
  • We bear our own sending You bear any receiving, intermediary or currency conversion charges applied by your own bank or payment provider.
  • We may withhold payment while we investigate suspected fraud or a breach of these terms.

10.  Tax

You are responsible for your own tax. Commission is paid gross unless the law requires us to deduct.

  • You are responsible for declaring and paying any income tax, self-employment tax, social security, VAT, GST or equivalent that applies to you in your own country.
  • Nothing we pay you is salary, and we do not operate PAYE or withhold employment taxes on your behalf.
  • We pay against your invoice. When we ask you for one, it must show your full legal or business name, your address, your tax or VAT registration number if you have one, your own invoice number and date, the description “Affiliate commission” and the period covered, the amount we told you was payable, in pounds sterling, and your payment details. Bill it to Asbiverse Limited, Dairy House, Money Row Green, Holyport, Maidenhead, Berkshire, SL6 2ND.
  • We cannot pay an invoice for an amount other than the one we notified, or one that is missing any of the above.
  • If you are registered for VAT in the United Kingdom, your invoice must show your VAT registration number and the VAT due, and we will pay that VAT in addition to the commission.
  • If you are outside the United Kingdom, we pay commission without United Kingdom Any tax arising where you are is yours to account for.
  • Where any law requires us to withhold or deduct an amount from your commission, we may do so, and we will pay you the balance.
  • If we ask you for tax information or documentation that we are required to hold, you must provide it. We may withhold payment until you do.

11.  How you may promote us

You are welcome to promote us on your own website, blog, newsletter, social media, podcast, video channel, from a stage, or in direct conversation with people you know.

What we ask is simple. Be honest, be yourself, and only say things you believe.

12.  What is not permitted

You must not do any of the following.

  • Bid on our brand terms in paid This includes Commercial Excellence Academy, Asbiverse, Shopurai, Route to Shopper, RiPe Score, Shopojo, ripescore, and any close variant or misspelling, and any of our domain names.
  • List us on coupon, voucher, discount or deal aggregator sites.
  • Send paid traffic directly to our site through your affiliate link without our prior written agreement.
  • Send unsolicited No spam email, SMS, direct message blasts, forum or comment spam, or purchased lists. All email you send must comply with the law that applies to you and to your recipients.
  • Interfere with No cookie stuffing, hidden iframes, forced clicks, automated clicks, adware, toolbars or browser extensions.
  • Present yourself as You must not imply you are an employee, agent, representative or spokesperson, or that you speak on our behalf.
  • Register anything using our No domains, subdomains, social media handles, app names, or business names containing our marks or close variants.
  • Fabricate No fake reviews, invented results, fictional testimonials, or claims about outcomes you have not had.
  • Guarantee You must not promise or imply any specific income, promotion, job, qualification or commercial result from our products.
  • Misrepresent what we In particular, do not misdescribe the Shopurai® Way Belt System, what a belt requires, or what any product includes.
  • Rebate your commission to a customer, or offer cash back or an inducement funded from it, without our prior written agreement.
  • Promote us alongside content that is unlawful, hateful, discriminatory, violent, adult, or that infringes anybody’s rights.

Breaching this clause may result in your referrals being rejected, your commission being withheld, and your removal from the programme.

13.  Disclosure

You must make it clear that you earn a commission. Disclose it clearly and prominently, close to the link or code, and before somebody clicks, not buried at the bottom of a page or hidden behind a link.

You are responsible for complying with the advertising and disclosure rules that apply where you and your audience are. Depending on where you operate this may include the UK CAP Code and the Advertising Standards Authority, the United States Federal Trade Commission endorsement guides, the EU Unfair Commercial Practices Directive, or equivalent rules elsewhere. Where local rules are stricter than this clause, follow the local rules.

14.  Our brand and intellectual property

While you are an approved affiliate we grant you a limited, non-exclusive, revocable, non-transferable licence to use our name and the promotional materials we make available to you, solely to promote our products under these terms.

  • Shopurai® and Route to Shopper® are registered trade GUIDE™, PATHS™, Shopojo™ and our other marks are claimed as trade marks.
  • Use our marks as we present Do not alter, abbreviate, restyle or incorporate them into your own logo or branding.
  • Our course content, study guides, videos, frameworks, kata and assessments remain ours. Being an affiliate gives you no right to reproduce, share, resell, excerpt or teach from them.
  • If you are also a customer, your access to purchased content is for you alone and is governed by the terms you accepted on purchase.
  • This licence ends automatically when your participation You must then stop using our marks and remove your links.

15.  Our relationship

You are an independent contractor. Nothing in these terms creates employment, agency, partnership, joint venture or franchise between us. You have no authority to enter into any commitment on our behalf, to make any representation or warranty for us, or to accept anything from a customer in our name.

16.  Suspension and termination 

Either of us may end your participation at any time, for any reason, by giving notice by email. We may also suspend your account immediately while we investigate a suspected breach.

If your participation ends, you must stop using our links, marks and materials, and remove them from anything you control.

Commission already approved and properly earned will be paid at the next payment run, subject to the minimum threshold. Where we end your participation because of fraud, abuse or a material breach of these terms, we may reject pending referrals and withhold unpaid commission.

An account with no tracked activity for 12 months may be closed. We will email you first.

17.  Changes to these terms 

We may change these terms. We will post the updated version here and change the date at the top. Where a change materially affects you, we will give at least 30 days’ notice by email.

Continuing in the programme after a change takes effect means you accept it.

18.  Your data 

We process your personal data to operate the programme, including your name, contact details, payment details, and your referral and payment records. We do this because it is necessary to perform our agreement with you and to meet our legal obligations, including keeping accounting records.

19.  No guarantees

The programme is provided as it is. We do not guarantee any level of traffic, sales, earnings, or that the programme, our site or our tracking will be uninterrupted or error free. Nothing we say about typical or possible earnings is a promise or a projection.

Any conversation about a wider role with us, including any invitation to work with our training team as a Shopurai® Ambassador, is entirely at our discretion. It forms no part of this agreement, there is no route by which participation in this programme entitles you to it, and nothing you do here obliges us to offer it.

20.  Liability 

We are not liable for loss of profit, loss of opportunity, or indirect or consequential loss arising from the programme.

Our total liability to you in any 12 month period is limited to the total commission we paid you in the 12 months before the claim arose.

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

21.  Compliance with law and sanctions 

You must comply with all laws that apply to you in promoting us.

We are a UK company and must comply with UK law, including financial sanctions and export control legislation. We cannot approve, pay, or continue to work with any person or organisation where doing so would breach those rules, including where you are located in, ordinarily resident in, or acting for a person subject to sanctions in a restricted territory. We may also be unable to pay where our payment providers do not operate in your country.

If this applies to you, we will tell you as soon as we reasonably can. Commission that we are prohibited from paying will not be paid.

22.  Governing law

These terms and any dispute arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, and you agree to submit to them.

23.  General 

  • These terms are the entire agreement between us about the programme and replace anything said or written before.
  • You may not transfer your account or your rights under these terms without our written agreement. We may transfer ours.
  • If any part of these terms is found unenforceable, the rest continues to apply.
  • If we do not enforce a term straight away, that does not mean we have given up the right to enforce it later.
  • Nobody other than you and us has any right to enforce these terms.
